These Terms govern the use of the LinkFluence platform operated by LinkFluence Ltd, a private company limited by shares registered in England and Wales under company number 16842089, with its registered office at 167-169 Great Portland Street, London W1W 5PF ("LinkFluence", "we", "us").
You accept these Terms when you tick the acceptance box in your application or registration, and each time you use the platform afterwards. Please also read our Privacy Policy, our Community Guidelines and our Refund and Cancellation Policy, which form part of these Terms.
1. What LinkFluence is, and what it is not
1.1 LinkFluence is an invite-only marketplace where brands and content creators find each other, agree paid collaborations, sign a contract and complete payment through a secured payment flow.
1.2 We are an intermediary. Every collaboration is a contract between a brand and a creator. We are not a party to that contract, we do not create content, and we do not act as an agent, employer, or talent manager for either side.
1.3 We do not guarantee that any collaboration will be offered, accepted or completed, and we do not guarantee results of any campaign.
2. Access to the platform
2.1 Access is by application and is invite-only. Creators are reviewed individually. Brands complete a standard registration with verification of company details.
2.2 Applications are typically reviewed within 10 business days. Applicants are informed of the outcome by email. Being accepted is not an entitlement, and we may decline an application without giving reasons, except where we are required to give them.
2.3 Rejected or waitlisted applicants may reapply after 90 days, or sooner where there has been a material change in their profile.
2.4 The platform is for business use only. By applying for access you confirm that you are at least 18 years old, legally able to enter into contracts, and that you act for purposes relating to your trade, business, craft or profession. Where the law allows parties who are not consumers to agree otherwise, the information requirements of regulation 9 of the Electronic Commerce (EC Directive) Regulations 2002 do not apply.
2.5 You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Tell us immediately if you suspect unauthorised access.
2.6 Some profile details, in particular your name, email address, date of birth and country of residence, can only be changed through support, because they are used for verification, payouts and legal reporting.
3. Verification
3.1 We verify creators to a reasonable standard, which may include identity checks, verification of connected social accounts, review of audience authenticity and review of previous brand collaborations displayed on a profile.
3.2 Verification is not a guarantee. It reflects the information available to us at the time of review. Brands remain responsible for their own decisions.
3.3 Providing false information, artificially inflating audience metrics, or misrepresenting previous work is a serious breach of these Terms.
4. Campaigns, proposals and contracts
4.1 A brand publishes a campaign brief with deliverables, requirements, timing and budget. A creator may apply, or a brand may invite a creator directly.
4.2 Proposals may be negotiated for a limited number of rounds as shown on the platform. Offers expire if not accepted within the period stated in the offer.
4.3 A binding collaboration contract is formed when both parties sign electronically on the platform. Contracts are generated from the agreed proposal, are signed with a timestamp and audit trail, and are available to both parties as a PDF.
4.4 An unsigned contract expires automatically after the period stated on the platform.
4.5 Changes to a signed contract require the agreement of both parties through the amendment function, and may require additional funding or a partial refund.
5. Deliverables, revisions and live duration
5.1 Content is submitted in two stages: a draft for approval, and, for content that is published, proof of publication. Deliverables that are not published, such as UGC content, are completed when the delivered file is approved.
5.2 The brand is entitled to the number of revision rounds stated in the contract. Revision requests must be specific, must be given in writing on the platform and must relate to the agreed brief. Once the revision limit is reached, the brand may approve the deliverable or open a dispute under section 11.
5.3 The brand has seven days to approve, request revisions, or reject a submitted deliverable with reasons. If the brand does not respond within that period, the deliverable is treated as approved.
5.4 Unless the contract says otherwise, sponsored content must remain publicly available for 30 days from first publication. Early removal without the brand's written consent may lead to re-posting, a proportionate refund, or enforcement under our Community Guidelines. Removal required by the platform on which the content is published, or by law, is not a breach.
5.5 Creators must comply with the advertising disclosure rules applicable to their audience. Brands must not ask a creator to omit or obscure disclosure.
6. Fees, payment and invoicing
6.1 The brand pays a platform fee of 12% of the collaboration amount, in addition to the creator's fee. The fee is subject to a minimum and a maximum per collaboration, currently EUR 60 and EUR 1,380; the current values are shown on the platform before a contract is signed. The creator receives the agreed amount in full.
6.2 On signing, the brand funds the full collaboration amount, which is held by a licensed payment provider until deliverables are approved. Funds are released per deliverable, either on approval or automatically after the review period ends.
6.3 Payments are processed by Stripe. LinkFluence does not hold client funds. By using the platform you also accept the applicable Stripe terms. Creators must complete payout onboarding before they can accept collaborations.
6.4 All payments for collaborations initiated on the platform must be processed through the platform. Circumventing the platform, including agreeing payment or continuing a collaboration outside it, is a material breach and may result in removal and, where applicable, a claim for the fees avoided.
6.5 Each party is responsible for its own taxes, including income tax, social contributions and VAT where applicable. We do not provide tax advice.
6.6 Where we offer self-billing, the creator agrees that we may issue invoices or credit notes to the brand on the creator's behalf, based on the contract data. Creators must provide and keep accurate the information needed for this, such as a VAT number or their status as a small business not registered for VAT.
6.7 We may be required by law to collect and report information about users who receive payments through the platform, including name, address, date of birth, tax identification number and amounts paid, to HM Revenue and Customs and, through them, to tax authorities in other jurisdictions. You agree to provide this information and keep it accurate.
6.8 In the event of a chargeback or reversal, we may suspend the relevant accounts and the affected payouts until the payment provider has decided the case, for no longer than 90 days, and may recover amounts already released. We keep the affected users informed of the status.
7. Rankings and visibility
7.1 Search results, creator recommendations and campaign visibility are based on factors such as relevance to the brief, niche and language match, audience data provided by the creator, completeness of the profile, availability, prior activity on the platform and reliability in previous collaborations.
7.2 We do not accept payment for higher placement in matching results. Where a campaign or profile is promoted in exchange for payment, it is marked as such.
8. Content, rights and licences
8.1 Creators keep ownership of the content they create until the agreed payment has been received in full.
8.2 On full payment, the rights agreed in the contract transfer to or are licensed to the brand, limited to the scope, media, territory and duration set out in that contract. Rights that are not granted in the contract remain with the creator.
8.3 Creators warrant that they hold all necessary rights in the content they deliver, including rights in music, footage and images, and that they have obtained consent from identifiable people appearing in it.
8.4 By uploading content to the platform, you grant us a limited, non-exclusive licence to host, display and process it as necessary to operate the platform. We may use approved public campaign results as references only with your prior consent.
9. Conduct and reporting
9.1 Our Community Guidelines apply to everyone on the platform and form part of these Terms.
9.2 Messaging on the platform is limited to deals and collaborations. Sharing contact details in order to move a collaboration off the platform is not permitted.
9.3 We may remove content that breaches these Terms, the Community Guidelines or applicable law. We use automated tools to detect contact details, payment details and attempts to move a collaboration off the platform in messages. Any decision to restrict an account or remove content is reviewed by a person.
9.4 If you believe content on the platform is illegal or breaches these Terms, report it using the report function or by writing to support@link-fluence.com. Please include a link to the content, the reason you consider it illegal or in breach, your name and email address, and a statement that you believe the report is accurate and made in good faith. We confirm receipt of a report without undue delay, review it diligently and objectively, and inform the person who reported and the person affected of the outcome and the reasons for our decision.
10. Suspension and removal
10.1 Depending on the seriousness of a breach we may issue a warning, apply a strike, restrict features, pause a payout while we investigate, suspend an account, or terminate access.
10.2 Where we restrict, suspend or terminate an account or remove content, we tell the affected user the facts, the rule or law we relied on, and how to complain under section 12. Where we terminate access, we give at least 30 days' notice, unless we are legally required to act immediately, or the breach is serious, in particular fraud, illegal content, repeated breaches or conduct that endangers other users.
10.3 Payments already earned for approved deliverables are not affected by suspension or termination, unless they are subject to an open dispute or investigation.
10.4 You may close your account at any time. Obligations under contracts already signed remain in force.
11. Disputes between users
11.1 If a dispute arises in a collaboration, the parties should first try to resolve it directly through the platform.
11.2 If it is not resolved within seven days, either party may ask us to review the matter. Both parties then have five business days to provide the evidence we reasonably request.
11.3 Within ten business days after the evidence period, we decide, with written reasons, how the funds held for that collaboration are released, which may include full release, partial release, or a refund. This decision concerns only the release of the funds held by the payment provider. It does not decide the legal claims between the parties, and it does not prevent either party from pursuing those claims.
11.4 We may introduce a dispute handling fee, published on the platform before it applies, payable by the party found to be at fault.
12. Complaints and contact point
12.1 If you are unhappy with a decision we have made about your account, your content or a payment, you can complain to support@link-fluence.com. We confirm receipt immediately, review the complaint and reply with a reasoned answer within ten business days.
12.2 Our single point of contact for users and authorities is support@link-fluence.com. You can communicate with us in English or German.
13. Changes to these Terms
13.1 We may change these Terms. We will notify registered users of material changes at least 15 days before they take effect, or longer where required by law, and the changes will not apply retroactively to contracts already signed.
13.2 If you do not accept the changes, you may close your account before they take effect.
14. Liability
14.1 The platform is provided as it is. We do not warrant that it will be uninterrupted or error free.
14.2 We are not liable for the performance, quality, legality or outcome of collaborations between users, nor for content created by users.
14.3 To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill. Our total liability to you under or in connection with these Terms in any 12-month period is limited to the platform fees you paid to us in that period, or EUR 1,000 if higher. This limit does not apply to the liabilities in 14.4.
14.4 Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Nothing limits the statutory rights of consumers.
15. Indemnity
You will compensate us for claims, losses and reasonable costs arising from your breach of these Terms, your breach of law or third party rights, or content you upload, except to the extent they are caused by us.
16. General
16.1 These Terms, together with the Privacy Policy, the Community Guidelines and the Refund and Cancellation Policy, are the entire agreement between you and us regarding the platform.
16.2 If a provision is invalid, the rest remains in force.
16.3 You may not transfer your rights under these Terms without our consent. We may transfer ours, for example in connection with a sale of the business, without reducing your rights.
16.4 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer resident in the EU, you keep the protection of the mandatory law of your country of residence and may bring proceedings there.
